Updated as on Wednesday, 14th October 2026. To know if this “Terms of Service” document has been updated, NISSI encourages the “CUSTOMER” to check this “Document ref number & date” to know the changes.

1Introduction and Acceptance

These Terms of Service (TOS) govern access to and use of LionCRM.in (the “Software”), a web-based Sales, Customer Relationship & Post-Order Service Management Software provided by Nissi Infotech (“NISSI”). The subscribing person or organisation is the “LionCRM.IN customer” (“Customer”). The accepted quotation, order confirmation and commercial plan form part of the agreement.

The Customer is required to review and affirmatively accept the applicable TOS when logging into the Software. NISSI may record the customer/company identifier, user identifier, acceptance timestamp, TOS version and related audit details as evidence of acceptance. The Customer must not use the Software without accepting the applicable TOS.

Subscription and renewal invoices will refer to https://lioncrm.in/tos.html and state that the subscription is subject to the TOS published there. Acceptance and enforceability remain subject to applicable law. These TOS are governed by the laws of India. The current Document Ref Number is “NISSI”/LCRM/TOS/01/26-27 (updated as on 14th October 2026).

2Commercial Plan and License

The Customer receives a limited, non-transferable right to use the hosted Software during the paid subscription period, for the modules, user licences, capacity, companies and branches specified in the accepted commercial plan. The subscription does not transfer ownership of the Software or source code.

A user licence is for one authorised person at a time; sharing a login to permit simultaneous use by different persons is not allowed. Module access is subject to permissions assigned by the Customer's administrator. Additional users, capacity, modules, branches or companies may require plan upgrades and additional charges at the rates applicable when requested.

Any reference to EMC or another capacity metric shall have the meaning stated in the Customer's LionCRM quotation and shall not be assumed to mean eBLACKDOG's employee capacity. Commercial terms in the accepted quotation take precedence over any general statements in these TOS.

3Demonstration and Product Scope

NISSI advises the Customer to review demonstration videos and/or request a live demonstration before subscribing. The subscription covers the features and facilities actually available and expressly included in the accepted quotation or commercial plan.

A feature not included or not available is not part of the standard subscription merely because the Customer expected it. Requests for new functions, changes, reports, integrations or additional modules are handled as customization, subject to technical and commercial approval.

4Order, Payment and Activation

Unless the accepted quotation states otherwise, payment is 100% in advance by the offer date. The offered price is valid only until that date and for the specified plan configuration.

NISSI will provide the online licence/login and the welcome/implementation communication within seven days after receipt of payment, in accordance with the Customer's current quotation. The order confirmation or tax invoice will acknowledge the payment. Taxes apply as stated in the quotation and applicable law.

5Subscription, Renewal and Access

Monthly, quarterly, half-yearly or yearly subscription charges, as applicable to the selected plan, are payable on their due dates. The subscription period and renewal obligations start with activation/payment as specified in the quotation; implementation or customization delays do not postpone renewal.

For yearly licences, the Customer is required to pay renewal charges 30 days before the due date under the existing quotation. Non-payment may lead to suspension or discontinuation of access, subject to applicable law and the agreed payment terms. The Customer should arrange timely exports of its important records.

6Renewal Price Increase

Under the current LionCRM quotation, user licence subscription charges increase by 20% annually, with the first increase applicable after 12 months from the first payment/order date. This applies to the selected monthly, quarterly, half-yearly or yearly subscription plan.

The renewal invoice or communication should show the applicable amount. Any different written commercial offer expressly accepted by NISSI takes precedence for that Customer. The accepted quotation controls the applicable increase.

7Training and Implementation

LionCRM.in is described in the current quotation as having four modules, and typical implementation is estimated at 15–30 days, depending on the Customer's data readiness, number of users/branches, staff availability, training participation and customization needs. This is an estimate, not an unconditional delivery guarantee.

Online or onsite training and implementation are provided according to the applicable prepaid or other commercial plans and the training/implementation sections of the accepted quotation. The Customer is responsible for timely data preparation, cooperation and staff participation. Any agreed paid training hours, their utilisation and remaining balance will be communicated in accordance with the quotation.

8Customization and Approval

Customization includes requested changes to existing features and additions of modules, functions, reports or integrations. NISSI will assess technical feasibility and commercial viability.

The Customer shall communicate the requirement in writing; NISSI may prepare a prototype and a customization approval document specifying scope, schedule and estimated hours. Work proceeds after the required approvals and commercial formalities. NISSI will demonstrate completed work for review. Further requirements or changes beyond the approved scope may be treated as new customization.

Customization fees and prepaid-hour arrangements are governed exclusively by the accepted quotation's commercial sections; no separate hourly rate is stated in these TOS.

9Software Maintenance and Support

During an active paid subscription, NISSI will provide maintenance and bug fixing for existing, delivered Software features in accordance with the subscribed support arrangements. A “bug” is a malfunction of an existing delivered function; a new business requirement, additional report or change in workflow is not a bug and may require paid customization.

NISSI may perform reasonable updates and maintenance to maintain service and security. The Software is provided on an “as is” and “as available” basis. NISSI does not warrant that it will be error-free or uninterrupted.

10Hosting and Storage

The current LionCRM quotation allocates 2 GB of hosting space per user licence for the first year. Additional storage, if needed, is subject to availability and additional charges at the rates prevailing when requested.

Storage arrangements for subsequent years and any allocation used for backup should be confirmed in the applicable commercial plan; these TOS do not promise additional free storage. The accepted quotation controls storage terms.

11Customer Data, Access and Security

The Customer is responsible for the legality, accuracy and authorised collection and use of leads, contact details, customer records, service records and other data uploaded to LionCRM.in, and for its users' permissions and login confidentiality.

NISSI is committed to maintaining the security, confidentiality and integrity of customer data and shall implement and maintain reasonable technical, administrative and operational safeguards designed to protect it against unauthorised access, disclosure, alteration, loss or misuse. NISSI shall take appropriate measures for server security, access control, software maintenance, database protection and backup management.

Customer data shall not be sold or disclosed to unauthorised third parties, except as required by applicable law or necessary for authorised service provision. NISSI processes Customer data only to provide the Software and on the Customer’s instructions. The Customer is responsible for the lawful basis for its data and for its users’ permissions. Both parties will comply with applicable data protection law (including the Digital Personal Data Protection Act, 2023, when it applies).

No internet-based software or cloud infrastructure can be guaranteed completely free from security risks, cyberattacks, technical failures or data loss. NISSI shall take reasonable steps to investigate and address security incidents in accordance with applicable law and contractual obligations. The Customer must promptly notify NISSI of suspected unauthorised access.

12Customer Indemnity

The Customer shall indemnify and hold NISSI harmless from and against any claims, losses, damages, costs or expenses (including reasonable legal fees) arising from: (a) the Customer’s data or its collection, use or content; (b) the Customer’s or its users’ use of the Software in breach of these TOS or applicable law; or (c) any third-party claim that the Customer’s data or the Customer’s use infringes rights or violates law.

This indemnity survives termination of the subscription.

13Backups and Data Export

In accordance with the accepted quotation, NISSI provides database maintenance and daily backups, including automatic cloud-to-cloud backup arrangements, and restoration when needed.

Before account closure, the Customer may request an export of available Customer data in Excel (XL) format to facilitate migration to another provider, in accordance with the quotation and agreed exit process. Conversion to a specific alternative format may incur additional charges. The Customer is responsible for checking and securely preserving the export before closure.

Upon closure of the subscription, NISSI will delete the Customer's operational CRM data from active systems and applicable backups in accordance with its deletion procedures, except where retention is required by applicable law. NISSI may retain the minimum records required by law and necessary contractual or TOS acceptance audit records; these are not retained as operational CRM data. The deletion procedure must account for backup-copy expiration or removal.

14Refund, Cancellation and Non-Renewal

The current LionCRM quotation states that no refund is available during the first year after payment, on the basis that the Customer has had an opportunity to review the demonstration. From the second year onward, a Customer choosing not to renew must notify NISSI at least 90 days before expiry.

These conditions are subject to any mandatory rights under applicable law. Any special written commercial terms expressly agreed with the Customer shall be read together with this clause. Cancellation does not automatically waive outstanding invoices or approved customization charges.

15Exit and Account Closure

When the Customer exits LionCRM.in, NISSI will reconcile outstanding subscription, implementation and customization charges and arrange the available data export in accordance with Clause 13 and the accepted quotation before account closure.

Following completion of exit formalities, the licence will be deactivated and the Customer's operational CRM data will be deleted as described in Clause 13; NISSI does not retain operational CRM data after account closure, except where legally required. The Customer is responsible for securing its exported records and arranging migration before account closure.

Where applicable, records of acceptance, invoicing and other legally required records may be preserved separately from the operational CRM database.

16Ownership and Restrictions

LionCRM.in, its software code, design, documentation and proprietary features remain the intellectual property of NISSI or its licensors. The Customer must not unlawfully copy, resell, reverse engineer, redistribute or provide unauthorised third parties access to the Software or source code.

The Customer retains rights in its own business data. Any separate rights to Customer-funded customization must be expressly agreed in writing.

17Updates, Upgrades and Version Retirement

NISSI may improve the Software, introduce new versions, fix bugs or retire unsupported versions. Material upgrades that involve a different commercial plan or additional fees will be communicated for Customer acceptance before charging.

Continued access to an older version may be limited where it is no longer technically or securely supportable. NISSI may offer certain enhancements without additional charge at its discretion.

18Liability and Events Outside Control

NISSI will use reasonable efforts to maintain the hosted service, but interruptions may arise from internet connectivity, cloud providers, third-party services, security incidents or other events outside its reasonable control.

To the maximum extent permitted by applicable law, NISSI’s total aggregate liability arising out of or relating to LionCRM.in, its subscription or associated services shall not exceed ₹15,000 (Rupees Fifteen Thousand Only) or the fees paid by the Customer in the 12 months preceding the claim, whichever is lower. This limit does not apply to liabilities that cannot lawfully be excluded or limited (including for fraud, wilful misconduct or gross negligence).

Nothing in these TOS guarantees uninterrupted availability, absolute data security or freedom from all technical failures.

19Dispute Resolution and Jurisdiction

The parties will first attempt to resolve disputes through good-faith discussions between their authorised representatives. Subject to mandatory applicable law and any contrary written agreement, unresolved contractual disputes will be subject to the competent courts at Coimbatore, Tamil Nadu, India. These TOS are governed by the laws of India.

20Changes to These Terms

NISSI may update these TOS to reflect changes in the Software, security, legal requirements or commercial operations. The approved TOS, version and effective date will be displayed at https://lioncrm.in/tos.html.

Customers will be required to affirmatively accept the applicable TOS at every login; NISSI may retain the accepted version and timestamp as an audit record. The TOS URL will also appear on subscription and renewal invoices.

Material changes affecting commercial or legal rights should be communicated reasonably and are subject to applicable law and any separately agreed written terms. Publication or login acceptance alone does not override mandatory legal rights. When NISSI updates these Terms, the Document Ref Number and the “Updated as on” date will be changed so that Customers can identify the current version.
